Terms of Service of Dextego Users

These Terms of Service govern access to and use of the Dextego website, application, and related services provided by Dextego Inc. By accessing or using the website or application, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Definitions

Dextego refers to Dextego Inc.
App refers to the Dextego application and related software.
Services refers to the App, website, AI features, and related offerings.
User refers to any individual or entity accessing or using the Services.
Customer refers to an entity using the Services for business purposes.
Content refers to all materials made available through the Services.
User Data refers to data submitted, uploaded, or generated through use of the Services.

Eligibility and Account Registration

You must be at least eighteen years old to use the Services. The Services are intended for business and professional use.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Dextego immediately of any unauthorized access or use.

Dextego is not responsible for losses caused by unauthorized account access due to your failure to safeguard credentials.

License Grant

Dextego grants you a limited, non exclusive, non transferable, revocable license to access and use the Services for internal business purposes in accordance with these Terms.

You may not use the Services for unlawful purposes or in a manner that violates these Terms.

Acceptable Use

You may not
Attempt to reverse engineer, scrape, extract, or reproduce the Services or AI models
Use the Services to develop or train competing products or models
Interfere with system integrity, security, or performance
Upload unlawful, infringing, or harmful content
Misrepresent your identity or authorization

Dextego may suspend or terminate access for violations.

Subscription, Fees, and Billing

Certain Services require a paid subscription.

Fees are billed in advance on a recurring basis unless otherwise stated. Subscriptions automatically renew unless canceled prior to renewal.

All fees are non refundable unless required by law or explicitly stated in writing.

Dextego may modify pricing with prior notice. Continued use constitutes acceptance.

You are responsible for applicable taxes.

User Data and Data Rights

You retain ownership of User Data.

You grant Dextego a limited license to host, process, analyze, and use User Data to provide, maintain, secure, and improve the Services, including training and improving models using aggregated or anonymized data.

Dextego will process personal data in accordance with its Privacy Policy.

Artificial Intelligence and Automated Processing

Dextego uses artificial intelligence to generate insights, coaching, recommendations, and analytics.

AI outputs are informational and supportive in nature. They do not constitute professional, legal, financial, or medical advice and should not be solely relied upon for decision making.

AI outputs do not produce legal or similarly significant effects. Accuracy is not guaranteed.

You acknowledge that AI generated content may contain errors or incomplete information.

Confidentiality

Each party agrees to protect the other party’s confidential information and use it only to fulfill obligations under these Terms.

Confidential information excludes information that is publicly available, independently developed, or lawfully obtained from a third party.

Third Party Services and Integrations

The Services may integrate with third party platforms.

Dextego is not responsible for third party services, content, availability, or practices. Use of third party services is governed by their terms.

Intellectual Property

Dextego retains all rights to the Services, Content, software, AI models, and related intellectual property.

No rights are granted except as expressly stated.

Service Availability

The Services may be unavailable due to maintenance or unforeseen circumstances.

Dextego does not guarantee uninterrupted or error free operation unless explicitly agreed in writing.

Termination

You may terminate your account at any time.

Dextego may suspend or terminate access for violation of these Terms or for security or legal reasons.

Upon termination, your license ends and access ceases. User Data will be handled in accordance with the Privacy Policy.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. DEXTEGO DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT.

DEXTEGO DOES NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, RELIABLE, OR ERROR FREE.

Limitation of Liability

DEXTEGO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

DEXTEGO’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS OR THE FEES PAID BY YOU IN THE THIRTY DAYS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Dextego from claims arising out of your use of the Services, violation of these Terms, or misuse of User Data.

Export Compliance

You agree to comply with applicable export control and sanctions laws. You may not use the Services in prohibited jurisdictions.

Assignment

You may not assign these Terms without consent. Dextego may assign these Terms in connection with a merger, acquisition, or sale of assets.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York. Exclusive jurisdiction lies in state and federal courts located in Kings County, New York.

Severability and Waiver

If any provision is unenforceable, the remainder remains effective. Failure to enforce any provision is not a waiver.

Changes to These Terms

Dextego may update these Terms by posting revisions or providing notice. Continued use constitutes acceptance.
